Slingshot Strategy Co. LLC, a Florida limited liability company doing business as Nemawashi (“Nemawashi”) provides the Nemawashi.com site and related services subject to your compliance with the terms and conditions set forth below. Your use of Nemawashi.com signifies your acknowledgment of and agreement to these Terms of Use.

1. Access & Acceptable Use

We grant you a limited, personal, non-transferable license to use the Site for lawful purposes only. You agree not to:

  • Use bots, scrapers, or automated tools without our written permission.

  • Interfere with or disrupt the Site’s operation.

  • Post or transmit anything illegal, infringing, defamatory, obscene, harmful, or misleading.

  • Attempt to gain unauthorized access to the Site or related systems.

We may suspend, restrict, or terminate your access at any time. Where practicable and where termination is not due to a breach of these Terms, we will provide reasonable notice before doing so. The Site may also be temporarily unavailable due to maintenance, updates, or circumstances beyond our control.

2. Accounts

If you create an account on the Site, you agree to:

  • Provide accurate and complete registration information and keep it up to date.

  • Keep your login credentials confidential and not share them with others.

  • Notify us promptly at support@nemawashi.com if you suspect unauthorized access to your account.

You are responsible for all activity that occurs under your account. We may terminate accounts that violate these Terms. Upon account deletion, we will handle your associated content in accordance with our Privacy Policy.

3. Your Content

If you post, upload, or share content (“Your Content”):

  • You keep ownership but give us a worldwide, royalty-free license to use, display, modify, and distribute it solely to operate and improve the Site and related services.

  • You confirm you have the right to share it and that it does not infringe any laws or third-party rights.

  • You are responsible for Your Content. We may remove it if it violates these Terms or applicable law.

Any feedback, suggestions, ideas, or feature requests you submit to us (“Feedback”) become the property of Nemawashi and may be used without compensation or attribution to you.

4. Our Content

All Site content—text, graphics, code, images, and trademarks—is owned by or licensed to Nemawashi and protected by law. You may not copy, distribute, or create derivative works without our written consent.

5. Third-Party Links & Content

The Site may link to third-party sites or contain content from others. We don’t control, endorse, or take responsibility for them. Use at your own risk.

6. Disclaimers & Liability Limits

The Site is provided “as is” and “as available” with no warranties, express or implied. We don’t guarantee uninterrupted service, accuracy, or security.

To the fullest extent allowed by law, Nemawashi is not liable for any indirect, incidental, special, or consequential damages arising from your use of the Site. In any event, Nemawashi’s total liability to you for any claims arising under these Terms shall not exceed the greater of (a) the fees you paid to Nemawashi in the twelve (12) months preceding the claim, or (b) one hundred dollars ($100).

Some jurisdictions do not allow the exclusion of certain warranties or limitation of certain damages. In those jurisdictions, the above limitations apply to the fullest extent permitted by applicable law.

7. Indemnification

You agree to indemnify, defend, and hold harmless Nemawashi and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys’ fees) arising out of or relating to: (a) your use of the Site; (b) Your Content; (c) your violation of these Terms; or (d) your violation of any rights of another party.

8. Copyright Complaints (DMCA)

If you believe your copyright has been infringed, send a DMCA notice to:

Your notice must include: (1) a description of the copyrighted work; (2) identification of the infringing material and its location on the Site; (3) your contact information; (4) a statement of good faith belief that the use is unauthorized; and (5) a statement, under penalty of perjury, that the information in your notice is accurate and that you are the copyright owner or authorized to act on their behalf.

Counter-Notice: If you believe your content was removed in error, you may send a counter-notice to the address above. Your counter-notice must include: (1) identification of the removed material and its prior location; (2) a statement under penalty of perjury that you believe removal was in error; (3) your contact information; and (4) consent to jurisdiction of the federal court in your district.

Nemawashi will terminate the accounts of users who are repeat infringers of third-party copyrights.

10. Governing Law & Dispute Resolution

These Terms are governed by the laws of the State of Florida, without regard to conflict of law principles. Any disputes will be resolved by binding arbitration in Miami, Florida, administered by the American Arbitration Association (“AAA”) under its Consumer Arbitration Rules then in effect. The arbitrator’s decision will be final and binding. For claims that qualify, either party may elect to bring the dispute in small claims court in lieu of arbitration.

For low-value claims (under $10,000), Nemawashi will pay the AAA filing fee. Each party shall bear its own attorneys’ fees unless the arbitrator finds a claim frivolous.

Notwithstanding the foregoing, either party may seek injunctive or other equitable relief in a court of competent jurisdiction to protect intellectual property rights.

You agree to bring claims only in your individual capacity. Class actions, class arbitrations, and consolidated proceedings are not permitted.

11. Changes to These Terms

We may update these Terms at any time. For material changes, we will provide at least 14 days’ notice via email or a prominent notice on the Site before the change takes effect. For non-material changes, the updated Terms take effect when posted. Your continued use of the Site after the effective date of any changes constitutes your acceptance of the revised Terms.

12. Eligibility

You must be at least 18 years old or have a parent or guardian’s consent to use the Site. By using the Site, you represent that you meet this requirement.

13. Severability & Waiver

If any provision of these Terms is found to be invalid or unenforceable, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will remain in full force and effect. Our failure to enforce any provision of these Terms shall not be construed as a waiver of our right to do so in the future.

14. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Nemawashi regarding your use of the Site and supersede any prior agreements.
